A Material Transfer Agreement [MTA] is a legal contract between two Parties that enables the transfer and eventual use of proprietary and protected materials (ie. biological samples, databases, software) by the Receiving Party. It is executed to protect the ownership rights to the proprietary materials. These rights could include provisions such as confidentiality, exclusive use, time period of use, intellectual property rights, and sale of the materials.
