A Material Transfer Agreement [MTA] is a legal contract between both Parties that enable the transfer and eventual use of proprietary ad protected materials (ie biological samples, databases, software) by the Receiving Party. It is executed to protect the ownership rights to the proprietary materials. These rights could include provisions such as confidentiality, exclusive use, time period of use, intellectual property rights, sale of the materials.
